Welcome to Minifarm. These Terms of Service ("Terms") govern your access to and use of the Minifarm marketing suite, including our website, applications, and services (collectively, the "Service"). The Service is provided by Codeiku ("Codeiku," "we," "our," or "us"), the contracting entity for these Terms. By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Service, you confirm that you:

  • Are at least 13 years of age (or the minimum age in your jurisdiction)
  • Have the legal capacity to enter into a binding agreement
  • Have read, understood, and agree to be bound by these Terms
  • Agree to our Privacy Policy

2. Description of Service

Minifarm is an end-to-end marketing suite for product brands. The Service supports campaign and adset planning, post drafting, AI generation of images and videos, scheduled publishing to connected social platforms (including Instagram), and community management features such as a unified DM inbox, comment automation, and analytics. Connections to third-party platforms like Meta (Instagram and Facebook) are made by you, on your authority, through their official login flows.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

Your Content

You retain ownership of the content you upload to the Service, including images, text, and other materials ("User Content"). By uploading User Content, you grant us a limited license to:

  • Process your content using our AI systems
  • Store your content for the duration of your use of the Service
  • Display your content to you within the Service interface

Generated Content

Content generated by our AI based on your inputs ("Generated Content") is provided to you for your use. You are responsible for ensuring that your use of Generated Content complies with applicable laws and does not infringe the rights of third parties.

Content Restrictions

You agree not to upload or generate content that:

  • Infringes any intellectual property rights or privacy rights
  • Contains illegal, harmful, defamatory, or offensive material
  • Depicts minors in inappropriate contexts
  • Violates any applicable laws or regulations
  • Attempts to manipulate, exploit, or abuse the AI system

5. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Codeiku and is protected by intellectual property laws. The Minifarm and Codeiku trademarks and trade dress may not be used without our prior written consent.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any portion of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Collect or harvest any information from the Service without authorization
  • Use automated systems or software to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to create misleading, deceptive, or fraudulent content

7. Connected Platforms (Meta / Instagram)

When you connect an Instagram professional account or Facebook Page to the Service, your use of the Instagram and Facebook features inside Minifarm is also governed by Meta's applicable terms, including the Meta Platform Terms, the Meta Developer Policies, Instagram's Community Guidelines, and the Instagram Terms of Use. Codeiku operates Minifarm in compliance with these terms and with Meta's Platform Terms in particular.

You agree that, when using the Instagram features, you will:

  • Only connect Instagram or Facebook accounts you own or are authorized to administer.
  • Use scheduled publishing only for content you have the right to publish, and not to deceive, impersonate, or spam recipients.
  • Use Comment Automation and DM features in line with Instagram Community Guidelines — no spam, harassment, deceptive solicitations, or messaging outside Meta's 24-hour standard messaging window except where a permitted message tag applies.
  • Honor user opt-outs and platform-level takedowns; if a user disengages, blocks, or reports your business, you will not use Minifarm to circumvent that.

We may suspend or revoke connected-platform features for any account that we reasonably believe is violating these Terms, the Meta Platform Terms, or Instagram's Community Guidelines.

8. Subscription and Payments

Certain features of the Service may require a paid subscription. By subscribing, you agree to:

  • Pay the applicable fees for your chosen plan
  • Provide accurate billing information and keep it current
  • Authorize us to charge your payment method for recurring fees

Subscription fees are non-refundable except as required by law or as stated in our refund policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AI-generated content may contain errors or produce unexpected results. We do not guarantee the accuracy, quality, or suitability of Generated Content for any particular purpose.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEIKU (OPERATOR OF MINIFARM) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify and hold harmless Codeiku, Minifarm, and their affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your User Content or Generated Content
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and associated data
  • Provisions of these Terms that should survive termination will remain in effect

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Codeiku, the operator of Minifarm, is organized, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law. You waive any right to participate in class action lawsuits or class-wide arbitration.

16. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision does not constitute a waiver.
